This report brings together the contributions of markets such as Bolivia, Bahrain, Germany, Hungary, the Philippines, South Africa, Switzerland, the United Kingdom, including the Dominican Republic, in whose contribution partner Fabio Guzmán Saladín and senior associate Emil Santana Núñez, analyze the impact of the Investment Crowdfunding Regulation on the Fintech ecosystem and the future of the Dominican stock market, the requirements for platforms and issuers, investor protection, corporate governance, due diligence processes, public offerings and the main challenges for its implementation.
The publications of Beaumont Capital Markets, in its International Banking Review 2026/27 edition, provide an international analysis of different markets and financial regulatory developments, facilitated by professionals and experts in banking law.
The development of financial technologies is transforming the way in which companies and investors access capital. In the Dominican Republic, this evolution is especially relevant with the approval of the Regulation on Investment Crowdfunding in the Securities Market, which incorporates this mechanism into the regulated perimeter and establishes a framework for the issuance of securities through digital platforms authorized and supervised by the Superintendence of the Securities Market (SIMV).
For entrepreneurs, small and medium-sized enterprises (SMEs), this regulation represents an alternative to the historical limitations of traditional financing and opens new possibilities to channel resources to productive projects.
The new regime establishes specific requirements for platforms and issuers, including authorization and registration, transparency standards, financial reporting, corporate governance, risk management, and continuous supervision. For non-professional investors, it also contemplates participation limits aimed at reducing risks and strengthening their protection. The annual limit established is RD$915,000, while for individual issuance it amounts to RD$300,000, subject to the conditions provided by the regulation.
A particularly relevant aspect for the business sector is the possibility of raising resources according to the size of the company. Small companies can access up to RD$30 million, medium-sized companies up to RD$60 million, and certain companies that exceed the medium-sized enterprise threshold for at least one year can reach up to RD$100 million.
Crowdfunding represents a significant step in the modernization of the Dominican stock market. Its incorporation into the regulatory framework can diversify sources of financing, boost the Fintech ecosystem and facilitate savings to be directed towards productive activities, especially in small businesses and SMEs.
However, the success of the regime will depend on its effective implementation, coordination between authorities and, especially, on issuers and platforms adopting sound corporate governance, compliance and risk management practices.
